Boards know that they must ‘act in the best interests of their organisation.’  But where does clinical governance fit with this? Under Australian law, directors must exercise their powers and discharge their duties in good faith in the best interests of the company and for a proper purpose. For directors of a charity or NFP, the purpose of the organisation will be central to the application of this duty.
